Terms and Conditions

Effective Date: April 1, 2025

These Terms and Conditions (“Agreement”) govern your participation, on behalf of your emergency service department (“you” or “your”), in the First Responder Month fundraising campaign (the “Program”) administered by Workman Trading Company, LLC (“Workman,” “we,” “us,” or “our”).

By registering for the Program and affirmatively accepting these terms, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

1. Program Overview

First Responder Month is an annual fundraising initiative created by Workman to support recognized emergency service departments. Each participating department will be issued a unique promotional code and customized marketing materials. A percentage of eligible sales made using your promo code during the promotional period will be remitted to your department as a fundraising payout.

2. Eligibility

To participate in the Program, your department must:

  • Be a verifiable emergency service organization located within the United States, including but not limited to: fire departments, law enforcement agencies, EMS, 911 dispatch centers, emergency management agencies, and certified search and rescue units;
  • Submit complete, accurate, and verifiable registration information;
  • Agree to promote the Program in good faith and in accordance with these Terms.

Workman reserves the right, at its sole discretion, to verify eligibility, request additional documentation, and deny or revoke participation for any reason, including suspected fraud, misrepresentation, or non-compliance.

2a. Department Verification

To ensure compliance and eligibility, participating departments may be required to submit verification documents, including but not limited to:

  • A valid W-9 form;
  • A recognized Department ID number or similar official documentation.

This information is used solely to verify your department’s eligibility and will be kept strictly confidential. It will not be disclosed or shared outside of Workman Trading Company, LLC, except as required to process payments or comply with applicable laws.

Failure to provide verification upon request may result in denial or revocation of participation in the Program and forfeiture of any unpaid commissions.

3. Registration and Onboarding

The registration window for the Program is open from April 1 through April 30, 2025. Upon approval, you will receive:

  • A department-specific promotional link and code.
  • Access to digital marketing and promotional materials.

Workman reserves the right to suspend or revoke participation at any time, with or without cause.

4. Promotion Period

The official fundraising period will run from May 1 through June 30, 2025. Only purchases made using your department’s unique link or promotional code during this period are eligible for commission.

5. Earnings and Payout

Commission Structure:

  • Base Commission: 10% of net sales using your promo code
  • Bonus Commission:
    • +2.5% for total net sales exceeding $5,000
    • +5% for total net sales exceeding $7,500

Payout Process:

  • Payments will be processed between July 1 and July 31, 2025
  • Payments will be made by check or ACH based on the information provided during registration

You are solely responsible for ensuring the accuracy of your payment details. Workman is not liable for payment delays, failed transactions, or misdirected funds resulting from incorrect information submitted by your department.

6. Use of Marketing Materials and Brand Assets

All marketing assets and promotional materials remain the sole property of Workman Trading Company, LLC. You are granted a limited, non-exclusive, non-transferable, and revocable license to use these materials solely for purposes of promoting First Responder Month.

You may not alter, misuse, resell, or misrepresent any Workman branding or assets. All use must strictly comply with Workman’s brand guidelines.

7. Department Responsibilities

By participating in the Program, you agree to:

  • Promote the Program truthfully, professionally, and in a manner consistent with the values of your organization and Workman.
  • Distribute the campaign through social media, internal networks, and local community channels.
  • Refrain from any deceptive, misleading, or unlawful promotional practices.

Non-compliance with these responsibilities may result in immediate termination from the Program and forfeiture of unpaid commissions.

8. Data Privacy and Use

Workman collects contact, payment, and registration information solely for the purposes of administering the Program. We do not sell or rent your information to third parties. Limited data may be shared with third-party vendors for payment processing and administrative functions in accordance with our Privacy Policy.

9. Termination

Workman may, at its sole discretion, suspend or terminate your participation if:

  • You breach any provision of this Agreement.
  • You engage in fraud, abuse, or misuse of promotional codes or assets.
  • You misrepresent your department’s identity, eligibility, or intent.

You may voluntarily withdraw from the Program at any time by contacting us at: support@workmanusa.com.

10. Limitation of Liability

To the maximum extent permitted by law, Workman shall not be liable for:

  • Any lost profits or revenues.
  • Delays or failures caused by technical errors, internet outages, or third-party service disruptions.
  • Misrouted or delayed payments due to inaccurate registration information.

No guarantees are made regarding the amount of funds your department will raise through the Program.

11. Modifications

We reserve the right to amend or update these Terms at any time. Notice of material changes will be provided via email or through our website. Continued participation following such changes constitutes your acceptance of the revised terms.

12. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Nebraska without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the courts located in Lancaster County, Nebraska.
